NON-DISCLOSURE AGREEMENT

As part of providing intellectual property support services to the firm placing order (“the Firm”), www.iipla.org, a website operated by International Intellectual Property Law Association, Inc. Regd. Address 589 S 22nd St. San Jose, CA 95116, USA (“the Service Provider”) here by agrees and acknowledges:

That during the course of the Service Provider’s work and provision of services to the Firm, there may be disclosed to them certain protectable information and/or confidential information of the Firm and clients of the Firm, including companies and persons. Such information may include, but is not limited to, intellectual property, including subject matter relevant to patents, trademarks, service marks, copyrights, and trade secrets. Trade secret information may consist of, but is not limited to: technical information including methods, processes, formulae, compositions, systems, techniques, inventions, machines, computer programs and research projects, and business information including customer lists, pricing data, sources of supply, financial data and marketing, production, or merchandising systems or plans.

The Service Provider agrees that they shall not during, or at any time after the provision of services or work with the Firm, disclose or divulge to others including employees, except employees, contractors, and subsidiaries who have a need-to-know to perform tasks directly related to the provision of services, any intellectual property, confidential information, or any other proprietary data of the Firm or the Firm’s clients in violation of this agreement.

That upon the end of their service with the Firm: they shall return to the Firm all documents and property of the Firm or the Firm’s client, including but not necessarily limited to material related to intellectual property, such as drawings, blueprints, reports, manuals, correspondence, customer lists, computer programs, and all other materials and all copies thereof relating in any way to the Firm’s business or Firm client’s businesses, or in any way obtained by them during the course of the services.

The Service Provider further agrees that they shall not retain copies, notes, or abstracts of the foregoing.

The Firm may notify any third party of the existence of this agreement, and shall be entitled to full injunctive relief, and any other legal remedies available for any breach.

This agreement shall be binding upon the Service Provider and their representatives and successors in interest, and shall inure to the benefit of the Firm, its successors, and assigns.

This agreement is considered signed by both the parties on 03/25/2023
