Datavault AI Inc. (Nasdaq: DVLT), a company specializing in artificial intelligence platforms for data monetization and real-world asset tokenization, announced it has entered into a non-binding letter of intent (LOI) to acquire a 19.9% equity stake in DataMEDS AI, Inc. (Nasdaq: MEDS). This equity interest is proposed in consideration of an expanded technology license with DataMEDS, subject to customary closing conditions, due diligence, and negotiation of definitive agreements.
The structure of the proposed transaction allows Datavault AI to obtain an equity interest in DataMEDS while maintaining ownership of its underlying intellectual property. In exchange for broadening its existing technology license, Datavault AI expects to receive a 19.9% equity interest on a fully diluted basis. Additionally, the company anticipates participating in potential royalty revenues generated from the commercialization of the licensed technologies, contingent upon final agreements.
Under the terms, DataMEDS would assume responsibility for commercialization costs, enabling Datavault AI to leverage its intellectual property through a capital-efficient model. This arrangement follows recent U.S. Food and Drug Administration (FDA) guidance on regulatory considerations for prescription drug use-related software.
DataMEDS aims to expand its healthcare technology capabilities by collaborating with multiple parties, including Datavault AI, EOS Technology Holdings, Inc., Scilex Holding Company, HealthBridge Advisors, LLC, and REBOOT Health AI, Inc. The partnership intends to integrate patient-controlled data tokenization, biometric medication verification, and automated delivery technologies into an expanded healthcare platform.
Nathaniel Bradley, CEO of Datavault AI, stated, “DataMEDS will reduce the cost, improve the quality of care and empower patients with powerful data-driven outcomes. This is an enduring vision of true pioneers in behavioral healthcare. Datavault AI is excited to be able to meaningfully participate in the value creation at MEDS via equity participation and royalties for the use of our technologies.” He further expressed confidence in a realistic closing by the fourth quarter of 2026, given the extensive due diligence and document preparation already completed under the previous LOI.
The proposed agreement builds upon DataMEDS’ existing PharmacyChain platform and EinsteinRx AI capabilities, which currently operate under a license from Datavault AI. The expanded license would grant DataMEDS exclusive rights (with specified exceptions) to Datavault AI Health capabilities designed to support patient-controlled health data access, monetization, and tokenization across pharmacy, laboratory, wearable, and broader commercial healthcare environments.
Datavault AI will retain ownership of its intellectual property, while DataMEDS will bear the costs of commercializing the licensed technologies. The LOI also contemplates that Datavault AI will have the right to designate one director to the DataMEDS board following the closing of the transaction. However, the LOI remains nonbinding, and either party may terminate it under certain circumstances, including unsatisfactory due diligence.
Key foundational patents held by Datavault AI relevant to this transaction include U.S. Patent No. 12,100,025 (Platform for Management of User Data), U.S. Patent No. 12,596,819 (Method and System for Data Valuation and Secure Commercial Monetization Platform), and U.S. Patent Application Publication No. 2022/0188925 (Data Futures Platform). These patents cover data management, valuation, and monetization technologies. The definitive license schedule will confirm the specific patents and applications included in the healthcare license.
Datavault AI’s platform serves diverse industries, including healthcare, leveraging AI and Web 3.0 technologies for data valuation and monetization. Its Acoustic Sciences division features patented wireless sound transmission technologies, while its Data Sciences division focuses on experiential data perception and secure monetization.
DataMEDS AI, formerly Wellgistics Health, is a healthcare company focused on integrating technology, pharmacy, pharmaceutical-adjacent, and telemedicine units through health information technology platforms. Headquartered in Tampa, Florida, DataMEDS incorporates its EinsteinRx AI platform and PharmacyChain blockchain-enabled smart contracts into its Health Lives Here mobile application. Its Corexa Health subsidiary provides pharmacy dispensing and related services, while Helomics Corporation operates a clinical molecular diagnostics laboratory specializing in chemotherapy selection diagnostics.
Scilex Holding Company, another participant in the broader collaboration, develops and commercializes non-opioid pain management products and therapies for acute and chronic pain and related diseases. Its portfolio includes FDA-approved products such as ZTlido®, ELYXYB®, and Gloperba®, alongside several product candidates in clinical development.
This announcement contains forward-looking statements subject to risks and uncertainties, including the nonbinding nature of the LOI, potential failure to complete due diligence or reach definitive agreements, regulatory approvals, and the successful commercialization of technologies. Additional risks relate to intellectual property protection, market conditions, and the financial performance of DataMEDS and other parties involved. Investors are advised to review Datavault AI’s SEC filings for a detailed discussion of these risks.
