Ford Motor Company of Southern Africa Challenges Fraudulent Director Listing with CIPC and Police

Ford Motor Company of Southern Africa announced on Tuesday that it has identified an unauthorized and allegedly fraudulent appointment of an individual named Clinton Ward Myburgh as a non-executive director of the company in records held by the Companies and Intellectual Property Commission (CIPC).

In an official statement, Ford categorically denied the legitimacy of this appointment, stating that the listing of Mr. Myburgh as a non-executive director is "entirely false." The company emphasized that the appointment was neither recognized, authorized, nor approved by Ford or any of its representatives.

Ford further clarified that Mr. Myburgh has no association with the company in any capacity and is not an employee of Ford Motor Company of Southern Africa. The automaker warned that any dealings, transactions, or agreements made with Mr. Myburgh purporting to represent Ford are invalid and unenforceable.

"Customers, partners and stakeholders are cautioned that any commitments, agreements or representations made by Mr Myburgh as representing the company are fraudulent and constitute a deliberate misrepresentation," the statement read.

In response to the discovery, Ford has initiated formal criminal charges against the individual, including allegations of fraud, extortion, and misrepresentation. These charges have been filed with the South African Police Service (SAPS).

Simultaneously, Ford has lodged a formal complaint with the CIPC, demanding an urgent explanation regarding how this unauthorized appointment was permitted to occur without the involvement, consent, or participation of Ford Motor Company.

The company reaffirmed its commitment to maintaining the strictest corporate governance standards and protocols, underscoring the seriousness with which it regards the incident.

This development raises concerns about the integrity of corporate records maintained by the CIPC and the potential risks posed to companies and stakeholders by fraudulent appointments.

Ford's swift action to involve law enforcement and regulatory authorities highlights the importance of vigilance in corporate governance and the protection of intellectual property and brand reputation.

The company has urged all customers, partners, and stakeholders to exercise caution and verify the legitimacy of any communications or agreements purportedly made on its behalf.
