The deal involves licensing Northern Graphite’s proprietary technology used for the thermal purification of graphite — a critical step in the production of battery-grade materials for electric vehicles (EVs), energy storage systems, and other high-performance applications. Under the terms of the agreement, the unnamed partner will receive access to the company’s intellectual property portfolio, including specialized process designs, engineering documents, and associated know-how.

Northern Graphite will receive an upfront cash payment of CAD $7 million, providing an immediate boost to its balance sheet and supporting ongoing operations and development projects. In addition to the initial sum, the agreement includes a structured royalty component. This will entitle Northern Graphite to a percentage of the revenue generated through the use of its technology, creating a long-term revenue stream and aligning both parties' interests in the successful deployment of the IP.

CEO Hugues Jacquemin emphasized the strategic importance of the deal, stating, “This transaction validates the strength of our technology and reinforces our leadership position in the graphite value chain. By monetizing our intellectual property, we are opening new avenues for revenue while supporting industry-wide adoption of more sustainable purification methods.”

What makes this a “double IP transaction” is the inclusion of two separate but interconnected elements: one for the direct licensing of technical IP, and another for the continued use and revenue generation based on the same. This layered structure reflects a modern approach to IP management in advanced materials industries, where companies seek both immediate and residual value from their innovations.

The purification process developed by Northern Graphite is seen as more environmentally sustainable than conventional methods, which often rely on harsh chemicals or energy-intensive procedures. As environmental regulations tighten and ESG (Environmental, Social, and Governance) benchmarks become increasingly central to supply chain decisions, Northern Graphite’s IP assets are gaining strategic appeal.
